These Terms of Service (“Terms”) govern your access to and use of the website and services provided by SIAM ON CLOUD CO., LTD. (“SIAM ON CLOUD,” “we,” “us,” or “our”), including our travel technology, AI automation, and cloud solutions offered to airlines, hotels, corporate travel programs, and online travel agencies (collectively, the “Services”). By accessing our website or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By visiting our website, requesting a demo, submitting an inquiry, or entering into an agreement with us for any of our Services, you confirm that you have the authority to bind the organization you represent to these Terms, and that you accept them on that organization’s behalf. If you do not agree to these Terms, please do not use our website or Services.
2. Description of Services
SIAM ON CLOUD provides enterprise software and technology services for the travel industry, including travel booking technology, AI-powered automation (such as conversational AI, predictive intelligence, and workflow automation), cloud infrastructure, data and analytics solutions, and related digital transformation services. The specific features, scope, and service levels available to a given client are defined in the applicable Order Form, Master Services Agreement, or similar signed agreement (“Client Agreement”).
3. Eligibility & Accounts
Our Services are intended for business use by organizations operating in the travel industry and related sectors, and are not directed at consumers or individuals under the age of 18. If we provide you with account credentials or access to a client portal, you are responsible for maintaining the confidentiality of those credentials and for all activity that occurs under your account.
4. Order Forms & Client Agreements
Where SIAM ON CLOUD provides Services to a client under a signed Order Form, Master Services Agreement, Data Processing Agreement, or Statement of Work, the terms of that Client Agreement govern the specific Services, pricing, service levels, and data handling for that engagement. In the event of a conflict between these Terms and a Client Agreement, the Client Agreement takes precedence for the matters it specifically addresses.
5. Acceptable Use
You agree not to use our website or Services to:
- Violate any applicable law, regulation, or third-party right.
- Reverse engineer, decompile, or attempt to extract the source code of our platforms, except where permitted by law.
- Interfere with or disrupt the integrity or performance of our Services, including through unauthorized access, scraping, or denial-of-service activity.
- Transmit malware, unsolicited advertising, or any content that infringes the intellectual property or privacy rights of others.
- Misrepresent your identity or affiliation, or use the Services on behalf of an organization without authorization.
6. Fees & Payment
Fees for our Services are set out in the applicable Order Form or Client Agreement. Unless stated otherwise, fees are quoted exclusive of applicable taxes, are non-refundable, and are payable according to the invoicing schedule agreed with each client. Late payments may be subject to suspension of Services in accordance with the terms of the relevant Client Agreement.
7. Intellectual Property
All content, software, designs, trademarks, and other materials made available through our website and Services (excluding client data and third-party materials) are the property of SIAM ON CLOUD or our licensors and are protected by intellectual property laws. Subject to your compliance with these Terms and any applicable Client Agreement, we grant you a limited, non-exclusive, non-transferable right to access and use our website and Services for your internal business purposes. No other rights are granted by implication.
8. Third-Party Services & Integrations
Our Services may integrate with, or rely on, third-party platforms and providers referenced on our website, such as global distribution systems and cloud infrastructure providers. We do not control these third-party systems and are not responsible for their availability, accuracy, or performance. Your use of any third-party service accessed through our platforms may be subject to that provider’s own terms.
9. Confidentiality
Each party may have access to confidential or proprietary information of the other party in connection with the Services. Both parties agree to protect the other’s confidential information with the same degree of care used to protect their own confidential information of similar nature, and not less than a reasonable standard of care, and to use it only for the purposes of the engagement, subject to any more specific confidentiality provisions in a Client Agreement.
10. Data Protection
Our collection and use of personal data in connection with our website and Services is described in our Privacy Policy. Where we process personal data on behalf of a client as part of the Services, that processing is governed by the Data Processing Agreement or equivalent terms in the applicable Client Agreement, consistent with Thailand’s Personal Data Protection Act B.E. 2562 (2019) and, where applicable, the GDPR.
11. Service Availability
We aim to maintain high levels of platform availability and use industry-standard cloud infrastructure to support reliability and scalability. Specific uptime commitments, if any, are set out in the Service Level Agreement referenced in the applicable Client Agreement. We may perform scheduled maintenance, and Services may occasionally be unavailable due to factors outside our reasonable control.
12. Disclaimers
Except as expressly stated in a Client Agreement, our website and Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
13. Limitation of Liability
To the maximum extent permitted by law, and except as otherwise set out in a Client Agreement, SIAM ON CLOUD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of our website or Services, even if advised of the possibility of such damages. Our aggregate liability for any claim arising from these Terms or the Services will be limited as set out in the applicable Client Agreement.
14. Indemnification
You agree to indemnify and hold SIAM ON CLOUD harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of our website or Services, or your violation of these Terms or applicable law, except to the extent caused by our own negligence or breach of these Terms.
15. Termination
We may suspend or restrict access to our website or Services where we reasonably believe these Terms have been violated. Termination of a specific Client Agreement is governed by the termination provisions set out in that agreement. Provisions of these Terms that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, and limitation of liability) will continue to apply.
16. Governing Law & Disputes
These Terms are governed by the laws of the Kingdom of Thailand, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Thailand, unless a Client Agreement specifies a different dispute resolution mechanism (such as arbitration) for that engagement.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. We will post the updated version on this page with a revised “Last updated” date. For active clients, any changes affecting a signed Client Agreement will be handled in accordance with the amendment provisions of that agreement.
